MASTER TERMS & CONDITIONS

1. About These Terms

These Master Terms & Conditions (“Terms”) govern access to and use of Branded Apparel Club’s website, membership, services, products, programs, resources, and related offerings. By creating an account, enrolling in membership, affirmatively accepting these Terms, approving a quote, placing an order, purchasing a service, or otherwise using an offering after receiving reasonable notice of the applicable terms, you agree to these Terms and any supplemental terms incorporated by reference.

2. Business-to-Business Eligibility

Branded Apparel Club provides products and services to registered businesses, organizations, and their authorized representatives. You must be at least 18 years old and have authority to bind the business or organization you represent. By accepting these Terms, you represent that the information you provide is accurate and that you are authorized to act for the applicable business or organization.

3. What Branded Apparel Club Provides

Branded Apparel Club is a membership-based branded apparel and merchandise company and platform. Depending on the membership plan and services purchased or qualified for, members may receive access to custom apparel and merchandise, product sourcing, design services, webstores, on-demand fulfillment, merch strategy and consulting, member-exclusive education and resources, member support, member perks, eligible payment or credit terms, and other business-focused solutions. Membership creates access to the relationship and platform; specific products and services may require separate fees, quotes, deposits, approvals, applications, or supplemental agreements.

4. Supplemental Terms and Order Documents

Certain offerings are governed by additional terms, including the Membership Terms, Refund, Return & Cancellation Policy, Order & Production Terms, Webstore & Print-on-Demand Program Terms, Net Terms & Business Credit Addendum, Member Perks Terms, Privacy Policy, accepted quotes, statements of work, invoices, applications, and other written program terms. If a conflict exists, the more specific supplemental terms govern the subject they specifically address, while these Terms govern all remaining matters.

5. Membership Relationship

Membership is an ongoing business relationship and does not guarantee any particular order volume, product availability, revenue, financial result, credit outcome, or other business outcome. Membership plans, benefits, usage limits, eligibility requirements, and pricing may vary. Current plan details disclosed at enrollment or renewal are incorporated into the membership relationship.

6. Accounts, Authorized Users, and Security

You are responsible for maintaining the confidentiality of account credentials, limiting access to authorized users, and promptly notifying Branded Apparel Club of suspected unauthorized access. Activity conducted through your account may be treated as authorized activity unless you promptly notify us otherwise. We may require reasonable verification of business ownership, identity, authority, account information, or transaction details before processing sensitive requests, refunds, account changes, or credit-related activity.

7. Quotes, Orders, Deposits, and Approvals

Product orders and paid service engagements may be subject to a quote, deposit, artwork approval, proof approval, statement of work, invoice, or other authorization. Branded Apparel Club may incur nonrecoverable costs after authorization, approval, procurement, deposit, payment, or commencement of services. Cancellation and refund rights are therefore governed by the Refund, Return & Cancellation Policy and Order & Production Terms. Membership cancellation does not automatically cancel an active product or service order, and resolution of an order does not automatically cancel membership.

8. Payment, Taxes, and Amounts Owed

You agree to pay all membership fees, invoices, deposits, product charges, service fees, shipping charges, taxes, and other amounts you authorize or become obligated to pay. Unless otherwise stated in writing, payment is due according to the applicable quote, invoice, membership plan, or approved credit terms. Branded Apparel Club may suspend services, production, membership benefits, webstores, or credit privileges for overdue balances. Amounts accrued before suspension or termination remain due.

9. Member Content, Logos, and Intellectual Property

You retain ownership of logos, trademarks, designs, text, photographs, and other original content that you lawfully own. By submitting content to Branded Apparel Club for an order or service, you grant Branded Apparel Club and its authorized production, technology, fulfillment, and service partners a limited license to use that content only as reasonably necessary to provide the requested products or services. You represent and warrant that you possess all rights and permissions necessary for the requested reproduction, printing, embroidery, display, hosting, distribution, or other use of submitted content.

10. Branded Apparel Club Intellectual Property and Member-Only Resources

Branded Apparel Club’s website content, educational materials, strategy materials, frameworks, templates, courses, training, brand-styling resources, e-commerce resources, merch methodologies, graphics, software interfaces, brand elements, and other proprietary materials remain the property of Branded Apparel Club or its licensors. Membership grants only a limited, revocable, nontransferable right to use member resources for the enrolled business’s internal business purposes. Unless expressly authorized in writing, members may not reproduce, publicly post, sell, sublicense, redistribute, share account access to, scrape, bulk-download for redistribution, or commercially exploit member-only materials. Nothing in membership transfers ownership of Branded Apparel Club intellectual property.

11. Third-Party Brands, Suppliers, Platforms, and Partners

Branded Apparel Club may source products from third-party manufacturers and distributors, use contract decorators and fulfillment providers, integrate third-party software, and offer partner benefits. Third-party names and marks belong to their respective owners. Product availability, partner offers, platform features, supplier terms, and third-party policies may change. Branded Apparel Club is responsible for the services it expressly undertakes to provide but does not control the independent performance, policies, inventory, approval decisions, or continued participation of unaffiliated third parties.

12. Webstores and On-Demand Programs

Webstores, print-on-demand programs, internal ordering portals, fundraising stores, retail merch stores, and similar e-commerce solutions are subject to the Webstore & Print-on-Demand Program Terms and any plan-specific statement of work. These programs may involve setup fees, recurring fees, fulfillment charges, third-party platforms, payment processors, customer-support responsibilities, taxes, refunds, chargebacks, payouts, domains, data, and content obligations. No webstore or marketing service guarantees traffic, sales, revenue, profitability, or return on investment.

13. Credit Terms and Business Credit Reporting

Membership alone does not guarantee Net terms, a particular credit limit, business credit reporting, or any financing outcome. Credit privileges are subject to separate approval, eligibility, account standing, transaction requirements, and the Net Terms & Business Credit Addendum. Where offered, business credit reporting is activity-based and applies only to eligible transactions and participating reporting relationships. Branded Apparel Club does not guarantee that any bureau, lender, scoring model, or financing provider will display, score, recognize, or rely upon reported activity in a particular way.

14. Member Perks

Member perks may include discounts, offers, preferred rates, services, or benefits offered by Branded Apparel Club or third-party partners. Unless expressly stated otherwise, a third-party provider is responsible for fulfilling its offer and its own eligibility rules, privacy practices, terms, and cancellation rules apply. Branded Apparel Club may add, modify, replace, or discontinue perks as partnerships and availability change. Perks have no cash value unless expressly stated.

15. Acceptable Use and Prohibited Conduct

  • Do not use Branded Apparel Club services for unlawful, fraudulent, deceptive, infringing, abusive, or unauthorized purposes.
  • Do not submit content that you lack the legal right to reproduce, decorate, distribute, or use.
  • Do not interfere with, scrape, reverse engineer, compromise, or gain unauthorized access to accounts, systems, or protected resources.
  • Do not misrepresent identity, authority, business status, transaction information, eligibility, or credit information.
  • Do not abuse membership benefits, discounts, perks, referral programs, refund procedures, credit privileges, or support resources.
  • Do not resell membership access or permit unauthorized third parties to use member-only benefits or proprietary educational resources.

16. Support and Service Availability

Branded Apparel Club provides support, education, consultation, account management, and other member services according to the applicable membership plan, purchased services, account standing, program terms, and reasonable availability. Branded Apparel Club may use employees, contractors, technology providers, and specialized partners to deliver services. Nothing in these Terms requires unlimited consulting, design work, account management, development, or support beyond the applicable plan or purchased scope.

17. No Guarantee of Business, Marketing, or Financial Results

Branded Apparel Club provides products, services, education, guidance, tools, and access intended to help businesses make better merchandise and branding decisions. Results depend on factors outside Branded Apparel Club’s control. Branded Apparel Club does not guarantee sales, revenue, profit, customer acquisition, marketing performance, brand awareness, employee engagement, financing approval, credit-score improvement, bureau-reporting outcomes, web traffic, conversion rates, fundraising results, savings, or any other specific business or financial outcome.

18. Privacy and Data

Branded Apparel Club may collect, use, store, and disclose business and personal information as described in its Privacy Policy and as reasonably necessary to provide services, process transactions, prevent fraud, administer accounts, fulfill orders, operate webstores, administer credit applications, provide member perks, comply with law, and work with authorized service providers. The Privacy Policy is incorporated by reference.

19. Suspension and Termination

Branded Apparel Club may suspend or terminate access to membership, services, webstores, credit privileges, perks, or the platform for nonpayment, fraud, abuse, material breach, infringement claims, legal or compliance concerns, threats or harassment, security risks, excessive chargebacks, or other material conduct that reasonably jeopardizes Branded Apparel Club, its members, partners, or service providers. Where reasonably practicable, Branded Apparel Club may provide notice and an opportunity to cure. Suspension or termination does not eliminate accrued payment obligations, nonrefundable fees, completed or active orders, intellectual-property obligations, indemnity duties, dispute-resolution obligations, or other provisions intended to survive.

20. Disclaimers

Except for express written commitments in an applicable quote, statement of work, or program agreement, the website, platform, educational materials, recommendations, resources, and services are provided on an “as available” basis to the fullest extent permitted by law. Branded Apparel Club does not warrant uninterrupted platform availability, continuous availability of a particular product, brand, supplier, perk, integration, or third-party service, or that every recommendation will be suitable for every business. Express product-remedy obligations are governed by the applicable order and refund terms.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRANDED APPAREL CLUB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRANDED APPAREL CLUB’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A CLAIM WILL NOT EXCEED THE GREATER OF (A) TWO THOUSAND FIVE HUNDRED DOLLARS ($2,500) OR (B) THE AMOUNTS ACTUALLY PAID TO BRANDED APPAREL CLUB FOR THE PRODUCT, SERVICE, MEMBERSHIP, OR PROGRAM DIRECTLY GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. THIS LIMITATION DOES NOT LIMIT A MEMBER’S PAYMENT OBLIGATIONS, INDEMNIFICATION OBLIGATIONS, LIABILITY FOR INFRINGEMENT, FRAUD, OR INTENTIONAL MISCONDUCT, OR ANY LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT TO BE LIMITED.

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Branded Apparel Club and its affiliates, owners, employees, contractors, service providers, and agents from third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from (a) content, trademarks, artwork, or materials you supplied without adequate rights; (b) your unlawful or unauthorized use of services; (c) your material breach of these Terms or applicable supplemental terms; or (d) your violation of a third party’s rights. Branded Apparel Club will provide reasonable notice of a covered claim and may participate in the defense.

23. Force Majeure

Branded Apparel Club will not be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, including supplier shortages, manufacturer discontinuations, labor disruptions, carrier failures, severe weather, natural disasters, government action, war, civil disturbance, utility outages, widespread technology outages, or cyber incidents not caused by Branded Apparel Club’s failure to use commercially reasonable security practices. Branded Apparel Club may extend timelines, pause affected services, propose commercially reasonable substitutes where appropriate, or cancel and refund the genuinely unperformed portion of a service if performance becomes commercially impracticable. Amounts attributable to completed work, procured goods, or nonrecoverable commitments remain payable.

24. Dispute Resolution

24.1. Notice of Dispute and Good-Faith Resolution

Before initiating arbitration or a court proceeding other than an emergency request for temporary or injunctive relief, the complaining party must provide written notice to support@brandedapparelclub.com and by mail to 4137 Sauk Trail Rd., Suite 164, Richton Park, IL 60417, Attn: Legal Notice. The notice must identify the business/member, authorized representative, relevant order, invoice, membership, or program, date the issue arose, concise description, amount or relief requested, supporting documentation reasonably available, and requested resolution. The parties will have thirty (30) days from confirmed receipt to attempt in good faith to resolve the dispute. Branded Apparel Club may require a reasonable telephone or video conference between authorized representatives during this period.

24.2. Small Claims Exception

Either party may bring an individual claim in a small claims court of competent jurisdiction if the claim qualifies for that court and remains on an individual, non-representative basis. A party does not waive arbitration of other claims merely by using the small-claims process for an eligible dispute. Where applicable law requires a particular small-claims venue, that requirement controls.

24.3. Binding Arbitration

Except for an eligible small-claims matter, a request for temporary or preliminary injunctive relief as permitted below, or another matter that applicable law does not permit to be arbitrated, any dispute, claim, or controversy arising out of or relating to these Terms, membership, a product or service, an order, a program, or the parties’ business relationship will be resolved by binding arbitration administered by the American Arbitration Association under the rules the administrator determines are applicable to the dispute. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. Unless applicable rules or law require otherwise, the matter will be heard by one arbitrator.

24.4. Streamlined, Remote, and Cook County Proceedings

The parties intend arbitration to be proportionate to the amount and complexity of the dispute. To the extent permitted by the applicable arbitration rules and law, the arbitrator may limit discovery to information reasonably necessary to decide the dispute and may use written submissions, telephone proceedings, or videoconference hearings. Unless the parties agree otherwise or the arbitrator determines an in-person hearing is necessary, hearings will be conducted remotely. If an in-person arbitration locale is required, the locale will be Cook County, Illinois, subject to applicable law and the administrator’s rules.

24.5. Arbitration Fees and Attorneys’ Fees

Administrative fees and arbitrator compensation will be allocated according to the applicable arbitration rules, the parties’ agreement, and applicable law. Each party will generally bear its own attorneys’ fees and internal costs unless a statute, separate written agreement, or arbitral award lawfully provides otherwise. Nothing in this section requires a consumer or other protected party, if one is determined to be covered despite the intended business-to-business relationship, to pay amounts that applicable law or binding arbitration rules require Branded Apparel Club to pay.

24.6. Individual Proceedings; Class and Representative Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES THAT COVERED DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY WILL SEEK TO HAVE A COVERED DISPUTE HEARD OR RESOLVED AS A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION ON THE MERITS, PRIVATE-ATTORNEY-GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. AN ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY’S INDIVIDUAL CLAIM. BRANDED APPAREL CLUB DOES NOT CONSENT TO CLASS ARBITRATION.

24.7. Coordinated or Mass Filings

If the American Arbitration Association determines that multiple substantially similar demands constitute a mass arbitration or coordinated filing under its then-current Mass Arbitration Supplementary Rules, those Supplementary Rules and the applicable mass-arbitration fee schedule will govern administration of the demands and will control over inconsistent provisions of the ordinary Commercial Arbitration Rules. The parties agree to participate in any process-arbitrator proceeding, global mediation, sequencing, batching, administrative conference, or other case-management procedure directed by the American Arbitration Association or a Process Arbitrator. No such procedure authorizes class arbitration, representative arbitration, or consolidation on the merits except by express written agreement of the parties. Any applicable limitation period will be tolled during a mandatory pre-arbitration, mediation, sequencing, or batching period to the extent necessary to preserve a properly submitted individual claim.

24.8. Emergency and Injunctive Relief

Nothing in this dispute-resolution section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential or proprietary information, platform security, account security, or to prevent imminent irreparable harm, pending arbitration of the underlying dispute where appropriate.

24.9. Mutual Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRANDED APPAREL CLUB AND THE MEMBER KNOWINGLY, VOLUNTARILY, INTENTIONALLY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY JUDICIAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, MEMBERSHIP, AN ORDER, A PRODUCT OR SERVICE, OR THE PARTIES’ BUSINESS RELATIONSHIP THAT IS NOT REQUIRED TO BE RESOLVED THROUGH ARBITRATION.

24.10. Special Severability for Arbitration

If a court of competent jurisdiction determines that the individual-proceeding waiver is unenforceable as to a particular claim or form of relief, that claim or relief will proceed in court rather than in class, collective, or representative arbitration, while all arbitrable individual claims remain subject to arbitration to the maximum extent permitted by law. The remainder of this arbitration agreement remains enforceable to the fullest extent permitted by law.

25. Governing Law

Subject to the Federal Arbitration Act and any nonwaivable law that must apply, these Terms and the parties’ contractual relationship are governed by the substantive laws of the State of Illinois, without regard to conflict-of-laws principles. The internal affairs of Rosson Enterprises LLC remain governed by applicable Delaware law to the extent required by law.

26. Court Forum for Permitted Proceedings

Except for an eligible small-claims matter that applicable law permits or requires to be filed elsewhere, any judicial proceeding permitted under these Terms and not required to be arbitrated must be brought exclusively in the state courts located in Cook County, Illinois, or, if federal subject-matter jurisdiction exists, the United States District Court for the Northern District of Illinois, Eastern Division. Each party consents to personal jurisdiction and venue in those courts, subject to any nonwaivable law requiring a different forum.

27. Changes to Terms

Branded Apparel Club may revise these Terms from time to time. Material changes will be posted or otherwise communicated as reasonably appropriate and will ordinarily apply prospectively. Branded Apparel Club will not attempt to retroactively alter the governing dispute-resolution rules for a dispute of which it already received formal written notice unless the parties expressly agree. Where Branded Apparel Club makes a material change to arbitration or another provision for which renewed assent is prudent or legally required, Branded Apparel Club may require affirmative re-acceptance before continued use of affected services or renewal.

28. Assignment

You may not assign or transfer membership or contractual rights without Branded Apparel Club’s written consent. Branded Apparel Club may assign these Terms in connection with a merger, reorganization, sale of substantially all relevant assets, financing, corporate restructuring, or transfer to an affiliated or successor entity, subject to applicable law.

29. Severability; Waiver; Entire Agreement

If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the remainder will continue in effect, subject to the special severability rule for arbitration above. A waiver is effective only when clearly given and does not waive future enforcement. These Terms, applicable supplemental terms, accepted quotes, statements of work, applications, and other incorporated written agreements constitute the agreement governing the relevant relationship and supersede inconsistent prior statements on the same subject.

30. Electronic Communications and Acceptance

You consent to receive agreements, notices, invoices, approvals, and account communications electronically. Branded Apparel Club may require affirmative clickwrap acceptance of these Terms and incorporated policies during enrollment, account setup, renewal, or later material updates. Branded Apparel Club may retain the agreement version, date and time of acceptance, account and representative identity, IP address or session information where available, and other reasonable evidence of assent.

31. Contact and Legal Notices

Member support requests should be submitted through Branded Apparel Club’s designated support channel or support@brandedapparelclub.com. Formal legal notices under Section 24 must be sent by email to support@brandedapparelclub.com and by mail to Branded Apparel Club, 4137 Sauk Trail Rd., Suite 164, Richton Park, IL 60417, Attn: Legal Notice. Branded Apparel Club may provide notices to the email address or business address associated with the member account.
